Terms of Service & Compliance Protocol

This legal document defines the AEX platform framework and responsibilities of all parties. Last updated: May 2026 — Subject to Swedish Law and international aviation safety standards (ICAO/FAA/EASA).

Terms of Service & Liability Disclaimer

Nature of Service

AEX (AeroExchange) acts strictly as a digital marketplace and broker connecting certified aviation vendors (MROs, Operators) with buyers, and private jet operators with charter clients seeking empty-leg opportunities.

Liability Disclaimer

AEX does not own, physically inspect, or warrant any aircraft parts or flights listed on the platform. Full legal and technical compliance regarding airworthiness, documentation, and certifications (FAA/EASA) rests solely with the Verified Vendor. Flight safety and operation remain the exclusive responsibility of the certified aircraft operator.

Dispute Resolution & Escrow

In the event of a quality or compliance dispute, funds held in the Escrow account will remain frozen until an official inspection report from an authorized aviation authority is provided. Funds are released only upon mutual agreement or arbitration ruling.

Commission & Payment Terms

Dynamic Commission Schedule

AEX applies a transparent, tiered commission model based on transaction value. Aircraft Parts: 5% (under $50K), 4% ($50K–$500K), 3% ($500K+). Charter Flights: 7% (under $20K), 5.5% ($20K–$100K), 4% ($100K+). Commission is calculated automatically at checkout. No hidden or additional fees.

FAA / EASA Compliance & Verification Protocol

Required Airworthiness Certificates

AEX enforces a strict compliance zero-tolerance policy. Vendors are required to upload valid airworthiness release certificates, specifically FAA Form 8130-3 or EASA Form 1, for every listed part.

Verification & Audit Process

The AEX verification system cross-references digital Part Numbers (PN) and logbook history with official authority forms before granting the 'Verified Listing' badge. Standard verification time is under 48 hours.

Document Fraud Consequences

Any manipulation of official certificates or documents results in immediate and permanent vendor suspension, mandatory reporting to relevant regulatory authorities (FAA/EASA/GCAA), and potential legal prosecution.

SECTION IV

Industry-Specific Clauses & Protection

Non-Circumvention Policy — Buyers & Operators

Users (buyers and operators) are strictly prohibited from directly contacting or transacting with each other outside the AEX platform after being introduced through AEX services. This constitutes circumvention and a material breach of these Terms. Upon discovery of circumvention, AEX reserves the right to: (1) claim the full applicable platform commission plus a 10% contractual penalty on the transaction value, (2) immediately and permanently suspend the offending account(s), (3) pursue applicable legal remedies. Operator contact details (name, phone, email) are intentionally withheld until the AEX reservation fee is completed to enforce this policy.

Operator Binding Obligation — No Direct Booking Acceptance

Every operator registered on AEX is contractually bound to refuse any direct booking or payment from a client introduced through AEX — whether by phone, email, WhatsApp, or any other channel — unless the AEX reservation fee has first been completed through the platform. Accepting a direct booking from an AEX-introduced client constitutes a material breach and exposes the operator to: (1) immediate permanent removal from the platform, (2) a contractual penalty equal to 3× the applicable commission on the transaction value, (3) a minimum 24-month ban from re-registration on any AEX service.

Escrow Protection & Arbitration

All transaction funds are held in a secure Escrow account until both parties confirm transaction completion. In case of dispute, the matter shall be arbitrated by the Stockholm Chamber of Commerce (SCC) under Swedish law. The losing party bears all arbitration costs.

Warranty Disclaimer

AEX provides no express or implied warranties regarding the authenticity, safety, or legality of any listed parts or flights. All warranties, if any, originate directly from the Vendor, not AEX. The Vendor bears full legal liability for any product-related claims.

Force Majeure

AEX is not liable for any delays or service failures due to circumstances beyond its control, including aircraft groundings, airspace closures, emergency declarations by authorities, or regulatory suspensions issued by FAA/EASA.

Prohibited Items

Prohibited for sale: parts from stolen or undisclosed accident aircraft, forged or altered certificates, parts with no verifiable serial number or maintenance history, or hazardous materials violating IATA regulations. Violation results in immediate suspension and authority notification.

AEX Right to Inspect

AEX reserves the right to mandate third-party inspection by an authorized MRO for any high-value part (over $50,000 USD) before fund release. Inspection costs are borne by the Vendor.

SECTION V

Last-Minute Reverse Auction Mechanics

STEP 01

Auto Listing

Flight is listed at a discounted static price on the Flight Deck dashboard.

STEP 02

Auction Activation

If unbooked 48h before departure, the Last-Minute Reverse Auction activates automatically.

STEP 03

Accept or Decline

Operator receives instant notification with a 2-hour window to accept or decline the bid.

Objective: To monetize empty-leg flights for private jet operators and eliminate deadhead losses at the last minute.

Process: Flights are initially listed at a discounted static price. If a flight remains unbooked 48 hours prior to departure, the Last-Minute Reverse Auction is automatically activated on the Flight Deck.

Bidding: Verified charter clients can submit custom lower bids. The platform sends an instant notification to the operator's dispatch team, who can accept the bid to cover fuel costs or reject it within a 2-hour window.

General Legal Provisions

Platform Operator & Legal Entity

AEX (AeroExchange) is operated by AEX Operations, registered at Hisingsgatan 28, 411 03 Gothenburg, Sweden. For all legal inquiries, disputes, or formal notices, contact: legal@aex-aviation.com. All official communications must be submitted in writing to this address.

Limitation of Liability

To the maximum extent permitted by applicable Swedish law, AEX's total aggregate liability to any party for any claim arising out of or relating to these Terms or the use of the platform shall not exceed the total commission fees paid by that party to AEX in the three (3) months preceding the claim. AEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Account Suspension & Termination

AEX reserves the right to suspend or terminate any vendor account for breach of these Terms. In non-urgent cases (e.g., repeated policy violations), AEX will provide a minimum of thirty (30) days written notice before termination. In cases of fraud, document forgery, or imminent safety risk, immediate suspension may be imposed without prior notice.

Amendments to Terms

AEX may update or modify these Terms at any time. Users and vendors will be notified of material changes via email to their registered address and via a platform banner, at least thirty (30) days before the new terms take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must cease using the platform before the effective date.
